This End User License Agreement (“Agreement”) is a legal agreement between you (“End User” or “You”) and Axzes, LLC (“Company”), the developer and owner of PASconcept (“Software”). By installing, accessing, or using the Software, You agree to be bound by the terms of this Agreement.

1. GRANT OF LICENSE The Company grants You a limited, non-exclusive, non-transferable, revocable license to use the Software solely for Your internal business or personal purposes in accordance with this Agreement. Access on behalf of a company using PASconcept is based on the subscription level associated with that company. Any breach or abuse of that subscription or subscription level will subject the company to termination from PASconcept.

2. RESTRICTIONS You agree not to:

Modify, distribute, sublicense, or create derivative works of the Software.

Reverse engineer, decompile, or disassemble the Software, except as permitted by law.

Use the Software for unlawful purposes or in violation of any applicable laws or regulations.

3. OWNERSHIP The Software is licensed, not sold. The Company retains all rights, title, and interest in and to the Software, including all intellectual property rights.

4. USER RESPONSIBILITIES You acknowledge and agree that You are solely responsible for the data and information inputted into the Software. The Company is not responsible for the accuracy, legality, or reliability of any data entered by You. You assume all risks related to the use of the Software and any decisions made based on its output.

5. DATA PRIVACY & SECURITY The Software stores user data in the cloud on Microsoft’s Azure platform. While the Company implements security measures to protect data, You acknowledge that no system is completely secure, and You are responsible for safeguarding Your login credentials and access to the Software.

6. THIRD-PARTY SERVICES The Software may integrate with third-party services; however, Axzes, LLC is not responsible for the performance, security, or availability of these services. The Company does not guarantee continued compatibility with any third-party services.

7. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Axzes, LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from Your misuse of the Software or violation of this Agreement.

8. DISCLAIMERS

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM SECURITY VULNERABILITIES.

9. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE COMPANY’S LIABILITY EXCEED THE AMOUNT PAID FOR THE SOFTWARE, IF ANY.

10. UPDATES & SUPPORT Updates to the Software are automatic and do not require a separate agreement. This Agreement covers all current and future developments of the Software. The Company provides support free of charge via support tickets, but any additional services beyond this are subject to availability and a service fee. Access to certain modules is subject to additional fees. Implementation, addition of additional users, or any other expansion of service is subject to additional fees at the sole discretion of Axzes, LLC, the developers of PASconcept.

11. FORCE MAJEURE Axzes, LLC shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, cyberattacks, governmental actions, labor strikes, or failures of third-party service providers.

12. EXPORT CONTROL & COMPLIANCE You agree to comply with all U.S. and local laws regarding software exports and acknowledge that the Software may be subject to restrictions under U.S. export control laws.

13. DISPUTE RESOLUTION Before initiating any legal action, the parties agree to attempt to resolve disputes through arbitration or mediation. Any legal proceedings must be conducted in the State of Florida.

14. TERMINATION The Company may terminate this Agreement at any time if You breach its terms. Upon termination, You must cease all use of the Software and delete all copies in Your possession.

15. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.

16. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between You and the Company regarding the use of the Software and supersedes all prior agreements or understandings, whether written or oral.

17. CHANGES TO AGREEMENT The Company reserves the right to modify this Agreement at any time. Continued use of the Software following any modifications constitutes acceptance of the updated terms.
